Important — please read
Turnaround Toolkit provides practical planning tools and educational guidance only. It cannot determine whether your business is insolvent, or whether it is legally appropriate for you to continue trading, and it does not assess director liability. If you are concerned about insolvency, your ability to pay debts as they fall due, or your duties as a director, please seek prompt advice from an appropriately qualified insolvency practitioner, restructuring professional or solicitor. Nothing on this site is a substitute for that advice.
1. Nature of the service
Turnaround Toolkit provides self-service diagnostic, planning and educational tools for UK business owners under financial pressure, including a Business Recovery Assessment, cash and break-even calculators, a Recovery Plan Generator, a Weekly Business Reset and supporting guidance and resources. All content, tools, assessments, calculators and guidance are provided for general educational and planning purposes only. They are intended to help you organise facts, improve visibility of your situation and consider practical actions. They are not tailored to your specific circumstances.
2. No personalised professional advice
Nothing on this platform constitutes legal advice, insolvency advice, accounting advice, tax advice, financial advice, investment advice or any other form of regulated or professional advice. Any guidance is general and educational. Figures, scores, bands, suggestions and narratives produced by the tools are the output of deterministic rules applied to the information you enter; they are not professional opinions, credit ratings, solvency tests, survival forecasts or recommendations to take (or not take) any particular course of action.
3. No professional adviser / client relationship
Use of this platform, or submission of a contact enquiry, does not create any professional adviser/client, solicitor/client, insolvency practitioner/client or other fiduciary relationship between you and the operator or any contributor. No such relationship arises unless and until a separate written engagement is individually agreed with an appropriately qualified and regulated professional.
4. No determination of solvency or insolvency
This platform does not determine whether any company is solvent or insolvent. It does not apply the statutory tests for insolvency, does not assess cash-flow, balance-sheet or wrongful-insolvency position, and does not reach any conclusion as to solvency. Questions of solvency and insolvency are legal matters that require advice from an appropriately qualified professional.
5. No determination that continuing to trade is legally appropriate
The platform does not determine, and does not advise, whether it is legally appropriate for you to continue trading, to cease trading, or to take any particular step in relation to your business. Decisions about whether to continue to trade carry significant legal consequences for directors and must be taken with appropriate professional advice.
6. No determination of director-liability and related matters
The platform does not assess or determine wrongful trading, fraudulent trading, misfeasance, breach of duty, preference, transactions at an undervalue, or any other ground of director or personal liability. It does not estimate the likelihood or amount of any such liability. These are legal determinations that require advice from an appropriately qualified professional.
7. No legal creditor-priority or payment instruction
The platform does not tell you which creditor you legally must, or legally should, pay, and does not determine legal creditor priority or set any payment order. Debt prioritisation can carry significant legal consequences (including for directors) and must be considered with appropriate professional advice.
8. Debt-prioritisation tools are organisational aids only
Any debt listing, prioritisation or scheduling features are organisational aids to help you record and think about what you owe. They do not constitute legal, insolvency or financial advice, do not determine legal priority, and do not recommend which debts to pay first. Any ordering shown is for your planning convenience and is not a legal payment instruction.
9. HMRC information is general and subject to change
Any information referring to HM Revenue & Customs (HMRC), including references to Time to Pay arrangements or dealings with HMRC, is general and is provided for educational purposes. HMRC guidance, practice and eligibility criteria change over time. You should verify the current position directly with HMRC or an appropriately qualified professional before acting.
10. No guarantee of Time to Pay or other concessions
The platform does not guarantee that any HMRC Time to Pay arrangement will be available, agreed or maintained on any terms, and does not guarantee any outcome in any dealings with HMRC, lenders, creditors, landlords, suppliers or any other party.
11. No guarantee of lender, creditor, landlord or supplier concessions
The platform does not guarantee that any lender, creditor, landlord, supplier or other third party will agree to any concession, forbearance, payment holiday, restructuring, refinancing, compromise or other arrangement, or that any negotiation will succeed.
12. Staff and restructuring templates are not employment-law or redundancy advice
Any communication templates, checklists or guidance relating to staff, restructuring or communications with employees are practical drafting aids only. They are not employment-law advice, redundancy advice, HR advice or a substitute for it. Employment and redundancy decisions carry legal obligations and risks; obtain advice from an appropriately qualified professional before acting.
13. Calculator and forecast limitations
Calculators and any planning figures use simplified assumptions stated alongside each tool. They exclude tax, financing, working-capital movements, exceptional items and other business-specific factors unless explicitly included. They are planning aids, not financial models, accounts, forecasts or guarantees. Results depend entirely on the inputs you enter and may not reflect your real financial position. They may omit factors that materially affect your actual cash position, profitability or viability.
14. Assessment scores are not professional opinions or solvency tests
Assessment scoring is deterministic and based solely on the answers you enter. Scores and risk bands are not professional opinions, credit ratings, solvency tests, survival forecasts, insolvency determinations or measures of creditworthiness, and do not indicate whether you should continue to trade. Any optional interpretive narrative is clearly labelled and does not set, change or override scores, bands, risk levels or any legal conclusion. The deterministic result remains authoritative.
15. The 12-week Recovery Path is a methodology, not a promise
The five-stage Recovery Path (Stabilise, Simplify, Restructure, Refocus & Rebuild, Review & Decide) is a structured methodology intended to help you work through recovery actions in a disciplined order. The “12-week” reference describes the structure of that methodology. It is not a promise, forecast or guarantee that any business will recover within 12 weeks, or at all, or that any particular stage will be reached or completed within any timeframe.
16. No guarantee of recovery or any outcome
The platform does not guarantee recovery, profitability, survival, refinancing, restructuring, saleability, continuity or any other outcome. Following any plan, tool output or guidance does not guarantee any result. Business outcomes depend on many factors outside the platform, including market, creditor, legal and operational circumstances.
17. User responsibility for inputs, assumptions and verification
You are responsible for the accuracy and completeness of any information you enter and for any assumptions you adopt. Results and suggested actions depend on your inputs and your specific business circumstances. You should verify inputs against your own records and obtain independent professional advice before acting on any output.
18. Seek urgent professional advice where appropriate
If your company cannot pay its debts as they fall due, has received formal or statutory demands, is facing recovery action, or you are concerned about your duties as a director, please obtain advice promptly from an appropriately qualified insolvency practitioner, restructuring professional or solicitor. Do not delay seeking such advice because of anything on this platform, and do not rely on this platform in place of professional advice.
19. Third-party links and resources
The platform links to third-party resources and official bodies for convenience and information. We are not responsible for the content, accuracy, availability or practices of third-party sites, and linking to them does not constitute an endorsement. Those sites have their own terms and policies which we do not control.
20. Intellectual property and permitted use
The Turnaround Toolkit name, logo and rescue-cross identity, and the platform’s original content and tools, are the intellectual property of the operator. You may use the downloadable resources and tools for your own internal business recovery planning and personal business use. You may not resell, redistribute, rebrand or commercially exploit the platform’s content or tools, or remove any attribution or legal notices.
21. Website availability and accuracy
The platform is provided on an “as available” basis. We do not guarantee uninterrupted, error-free or secure access, and we may change, suspend or withdraw features or content at any time. We aim for accuracy but do not warrant that the content is complete, current or error-free, and we accept no liability for loss arising from the platform being unavailable.
22. Limitation of liability
To the maximum extent permitted by law, the platform and its content are provided without liability for any loss or damage arising from their use or reliance on them, including loss of profits, loss of business, loss of contracts, loss of goodwill or indirect or consequential loss. This limitation applies to the operator, its officers, employees and contributors.
23. Preservation of liability that cannot be excluded
Nothing in these terms excludes or limits any liability that cannot be lawfully excluded or limited under applicable law. In particular, nothing in these terms excludes or limits liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence, to the extent that such liability cannot be lawfully excluded.
24. Operator details
Turnaround Toolkit is operated by THINKERZ LTD (company number SC778478), whose registered office is at Clyde Offices, 2nd Floor, 48 West George Street, Glasgow, Scotland, G2 1BP. You can contact us at hello@thinkerz.co.uk or through our contact form.
25. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or with the platform, are governed by and construed in accordance with the law of Scotland. You and the operator submit to the exclusive jurisdiction of the Scottish courts in respect of any such dispute or claim, save that the operator may bring proceedings to enforce or protect its intellectual property in any jurisdiction.
